 Definitions

(1) The Company or Arabotic means Arabotic Translation Ltd.

(2) Client means any person, firm, or organisation that seeks Arabotic's services.



 Linguistic Considerations

A good translation depends amongst other things on a well and clearly written source document. Arabotic will not be held responsible for unsatisfactory translation work resulting from poorly written and illegible source documents.

In the case of certified translation, to avoid terminology discrepancies/inconsistencies in names/places which may have standard translations, a proof will be sent to the Client for verification before stamping the documents. It is the Client's responsibility to ensure that the translation is correct. Any discrepancies in names found after the translation is certified and stamped may incur further cost if Arabotic is required to correct and re-certify the translation.



 Rates

We offer our clients competitive rates and the highest quality. Our translation and editing prices are based on a number of factors such as the source text nature (general or field-specific), difficulty of the text, project volume, time frame (normal or rush order), style, the amount of modifications needed, etc.

An accurate quote can be offered only after reviewing the project that needs to be translated or edited. We always strive to accommodate the financial capabilities of students and small businesses, and we offer discounts on large-volume or long-term projects to regular clients.

Rates quoted are exclusive of Value-added tax (VAT) and delivery charge. An additional charge may be made for all expenses incurred by the Company at the request of or by agreement with the Client which are not included in the quotation or which the Company considers reasonably necessary.

Rates include typing and the reproduction of special work (e.g. tables, charts, etc.) that are within the standard form and acceptable quantity.

Any outstanding payments for fees or costs not received by the Company within 7 days of the date of the relevant invoice will be deemed late and shall be subject to a delay charge per month.

On cancellation or suspension of work for any reason, any sum owing by the Client to the Company shall be immediately payable.

The Client is not entitled to withhold or delay payment of any amount due to Arabotic on account of any third party withholding payment to the Client.



 Additional Charges

These are payable by the Client to Arabotic should any of the following occurs:
(1) Arabotic has to pay necessary expenses that are not a normal part of our routine procedures such as (a) overnight delivery requested by Client for more than our standard work quota per day, (b) long distance telephone calls for any necessary clarifications, etc.
(2) If additional services are required as in the following cases: (a) need for extensive research beyond our normal routine translation process due to ambiguities in the item(s) to be translated, (b) Client makes changes in the item(s) to be translated/edited after the signing of the contract, (c) Arabotic is requested to make changes in the translation/edited/copywrited text after delivery because of Client's preferences as to style or vocabulary while such changes are not prompted by accuracy.
(3) If much extra work is needed for the reproduction of tables, charts, etc.

The final cost, depending on each case, should be agreed upon by both parties before proceeding with work.



 Payment

Seventy five percent of the rate must be paid in advance to Arabotic. Upon completion of the project, it is the Client's responsibility to revise the whole completed work and report to Arabotic any needed modifications within 7 days at most. After modifications are done, the outstanding amount (25%) should be paid to Arabotic within 5 working days from the final delivery.



 Completion of Work

Subject to the Client's delivery of the document(s), instructions and accepted quote to Arabotic, it is the responsibility of Arabotic to ensure that the work reaches the Client by the deadline, complete and through the required medium (fax, email, floppy disc, compact disc, or post).

Delivery dates are binding only when Arabotic has had full sight of the material to be translated/edited. The deadline may be subject to change if any amendment is made to the job (modification of the original text, formatting changes, additional text, suspending the job for any reason by the Client, etc.) after work has started. In this case, any agreed deadlines or delivery schedules will automatically cease to be valid and new dates must be negotiated.

Any adjustment in the deadline must be confirmed in writing and agreed on by both the Client and Arabotic.
Unless otherwise specified, the deadline means up to Midnight GMT on the date specified in the order. Arabotic shall do its best to complete the service(s) before the deadline but shall not be held responsible for delays in completion caused by events beyond its control such as postal or courier delays, telecom disruptions, or any event classified as 'Force Majeure' (Please check 'Force Majeure' below).



 Force Majeure

Force Majeure literally means "superior force". These are the unforeseen events beyond the control of one party that excuse it from liability if it failed in performing its obligations under the contract.

Force Majeure cover Acts of God, acts of war, fire, power failure, civil commotion, natural disaster, disputes, strike, the failure of third parties –- such as suppliers or subcontractors -- to perform their obligations to the Company, or any other circumstances which have substantially affected the Company's ability to complete the work as agreed. Force Majeure excuse a party only if the failure to fulfill obligations was inevitable.

In the event of Force Majeure, the Company shall notify the Client immediately indicating the circumstances.

Force Majeure entitles both the Company and the Client to withdraw from the contract, but in all conditions the Client undertakes to pay the Company for the work already completed. If possible, the Company will do its best to help the Client place the work elsewhere.



 Precaution against Material Loss

Even though Arabotic does its best to keep the properties of the Clients safe, it is the Clients' responsibility to retain an original copy of all the materials pertinent to their work (softcopy of files, hard copy of manuscripts, tapes, etc) just in case the copy handed to the Company were lost for any reasons beyond our control.



 Delivery

The client is entirely responsible for ensuring that the item(s) for translation/editing have been delivered and seek acknowledgement. The Client must not assume that the work is being undertaken without acknowledgement from Arabotic. Arabotic will confirm the number and description of item(s) received and will commence work upon acknowledgement of receipt of the Client Purchase Order.

Dates or periods for completion of work are best estimates. Whilst the Company will make every reasonable effort to meet the Client's requirements, late delivery for reasons beyond the Company's control does not entitle the Client to withhold payment for the work already done.

Where a rush job is needed for delivery earlier than our standard delivery timescales, Arabotic may indicate likely lack of quality due to rush job constraints. Should the Client wish to proceed with the job in this case, every effort will be made to secure freedom from defects, but Arabotic will not be held responsible for any unsatisfactory outcome to the job at hand. Reasonable allowance for error must be made by the Client in such cases. Under all conditions, the Client will not withhold payment on account of poor quality performance.

The Client will meet the costs of receiving the completed item(s) back from Arabotic by post, courier or in person unless such delivery is by email or fax. Arabotic bears no responsibility whatsoever in case of default on delivery by mail or any third party either from or to the Client, in part or in full. The Client should acknowledge receipt of the item(s). In case of default on delivery by any third party, Arabotic will endeavour to deliver the item(s) again free of charge by email or fax.

Arabotic will not be liable in any circumstances for the consequences of any delay in delivery or performance if the delay is due to circumstances beyond its control or is of an unexpected or exceptional nature (Please check 'Force Majeure').



 Client's Review of Work

Upon receipt of the documents from Arabotic, the Client will promptly review it, and within 7 days after receipt shall notify Arabotic of any requested corrections or changes. Within this period, the latter will correct any errors to the former at no cost.



 Third Parties

Arabotic will bear no responsibility whatsoever as to any changes made in the work done after completion by the Client or any third party.



 Complaints, Reviews and Refunds

We aim to provide a flawless service and do our best to ensure our work meets Client's satisfaction. However, if there is any complaint, we will try to rectify any errors and do everything we possibly can to remedy the situation free of charge if we were notified of the problem within 7 days from the delivery date. Unfortunately, we cannot accept any responsibility or complaints for any jobs after 7 days. Nevertheless, all outstanding invoices will still need to be paid.

In case Arabotic were not able to perform the job to the Client's satisfaction after problems have been pinpointed within 7 days of delivery, proved justifiable and Arabotic was given a chance to rectify the situation, a full or partial refund may be made to the Client.

Arabotic and its translators will not be held responsible for any loss, damage, claim, expense or liability which the Client may have incurred on account of using Arabotic or its translators' services though Arabotic strives to provide the best qualified translators.



 Cancellation and Suspension

If the Client for any reason cancels work which was commissioned, charges will be payable for all the completed work up to the cancellation date and for all other costs and expenses which may accrue as a result of such cancellation.

If the Client suspends or postpones work which was commissioned for a period of 7 days or more, charges will be payable for all commissioned work up to the date of suspension or postponement and for all other costs and expenses which may accrue as a result of such suspension. In any other case, such charges will be payable upon completion of work.



 Clients' Property

All documents, paper or other property supplied by the Client to Arabotic remain the property of the latter and will be held in strict confidentiality. Arabotic usually keeps such material in its custody for 6 months in case any later amendments or follow ups were needed but will return everything immediately to the Client upon request.  

Otherwise, Arabotic reserves the right to automatically destroy or dispose of any document, paper or other property of the Client which has been in its custody for more than 6 months following completion of the work to which it relates.



 Copyright/Intellectual Property Right/Translation Right

Arabotic does not by any means endorse the infringement of copyrights, intellectual property rights, or translation rights. However, our scope of work does not include checking works' abidance by them.

Arabotic accepts projects only on the understanding that one or more of the following conditions hold:

  1. If a source text is under translation rights, the Client obtained the rights to  translate it from the translation right owner(s).
  2. The Client will be using the translation for private use only.
  3. If the Client cited any information from any source that is subject to copyrights or intellectual property rights, he/she followed the proper documentation rules to avoid plagiarism.
Abiding by the intellectual property rights, copyrights, or translation rights is the exclusive responsibility of the Client. Arabotic is not responsible for any claim for infringement (be it based on the original work submitted by the Client or the resultant translated/edited form) or for any legal action which may ensue accordingly.



 Statement of Ethics Regarding Student Editing

In the academic field, we DO NOT edit any work in a way to infringe on the general plagiarism guidelines set out by the academic community. Nevertheless, users of our service must consult their professors and academic institutions regarding the ethicality of using it.

Arabotic in no way accepts being, directly or indirectly, part of making students' evaluation based on the submission of works that are not truly their own nor are a true reflection of their linguistic competence. Our student editing service is governed by a list of Dos and Do Nots. Nevertheless, when the company accepts any student editing project, it is only on the understanding that:

  1. The student's evaluation in the course related to the material submitted to us is not based on assessing his/her linguistic competence and language mechanical skills.
  2. Students writing essays that are graded on the basis of their overall writing style will seek academically endorsed sources of writing help.  
  3. Students approaching us are those whose educational institutions do not consider any part of their works edited by us plagiarised.
  4. Professors of the course works submitted to us accept that their students' works be edited by others to facilitate their focusing on course ideas.



 Rejection Right

All material to be translated is subject to Arabotic's approval. Arabotic reserves the right to reject translating any unsuitable material. Unsuitable material includes but is not limited to that which violates or infringes upon the rights of any third party, including intellectual property rights; or that which promotes illegal activities, sexually explicit material, gambling, violence, discrimination based on race, sex, religion, nationality, disability, sexual orientation or age. Arabotic does not accept and/or serve members propagating any political or religious activities nor members from the tobacco, alcohol, firearms, explosives, or weapons industries.



 Translation Purpose

If a Client specified a particular use for translation work then used it for another purpose, the Company accepts no liability for any damage that may ensue. Arabotic reserves the right to make a further charge for any amendments necessitated by the use of a translation for a new purpose upon Client's request.



 Indemnification by Client

The Client undertakes to indemnify and hold Arabotic harmless from any and all losses, expenses, damages, claims, or liabilities which may ensue based on the material furnished or prepared by the Client for use by Arabotic pursuant to any work contract.



 Subcontracting Arabotic Translators

The Client undertakes not to make any attempts to establish any arrangement independent of Arabotic with translators contracted by Arabotic for the project at hand or any related project. Should the Client breach this arrangement, the Client will pay all sums actually or potentially due to Arabotic pursuant to the contract at hand.
